- Transfer your account to another person.

- Allow another individual to access the Services through your account without Aureus's authorization.

2.8 Account Termination by User

Termination of your account does not automatically delete information that Aureus is required or permitted to retain under applicable law, our Privacy Policy, or legitimate business purposes.
2.9 Survival of Obligations
Termination or closure of an account does not affect any rights or obligations that, by their nature, should survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, payment obligations, and applicable legal compliance.

Aureus does not directly access or collect your online banking usernames or passwords.
Financial information is obtained only after you authorize the connection through supported third-party providers, such as Plaid.
The availability, accuracy, and timeliness of financial information depend upon the connected financial institution and third-party providers.
3.3 Educational Purpose
The Services are designed to promote financial literacy, improve financial organization, and provide users with educational information regarding personal finance.
Educational content may include articles, lessons, calculators, visualizations, financial metrics, and AI-generated explanations intended to help users better understand financial concepts.
Educational content is provided for informational purposes only and should not be interpreted as professional financial, legal, tax, accounting, or investment advice.
3.4 Financial Health Score
Aureus may generate one or more proprietary financial health metrics or scores based on information available through the Services.
These scores are intended solely to provide users with educational insight into various aspects of their personal financial condition.
Unless expressly stated otherwise by Aureus, these scores:
- Are proprietary to Aureus.
- Are informational only.
- Are not credit scores.
- Are not consumer reports.
- Are not lending decisions.
- Are not investment recommendations.
- Are not guarantees of future financial outcomes.
Users remain responsible for evaluating their own financial circumstances and making independent financial decisions.
3.5 Artificial Intelligence Features

4. Financial Data Connectivity and Third-Party Financial Providers
Certain features of the Services require access to financial information maintained by third-party financial institutions.
To provide these features, Aureus integrates with authorized third-party financial data providers, including Plaid Technologies, Inc. ("Plaid"), to securely retrieve financial information that you authorize us to access.
Your use of financial account connectivity features is subject to this Section in addition to any applicable agreements between you, your financial institution, and third-party providers.
4.1 Authorization to Access Financial Information
By connecting a financial account through the Services, you expressly authorize Aureus and its authorized financial data providers to access, retrieve, transmit, and process financial information from your designated financial institution solely for the purpose of providing the Services.
You represent and warrant that:
- You are the owner of the financial account or otherwise have legal authority to authorize access.
- The information you provide is accurate.
- Your authorization does not violate any agreement with your financial institution or applicable law.
You may revoke this authorization at any time by disconnecting the applicable financial account through the Services, subject to applicable data retention requirements described in our Privacy Policy.
4.2 Third-Party Financial Data Providers
Financial account connectivity is provided through independent third-party providers.
These providers may include Plaid and other financial connectivity services that Aureus may support in the future.
Your use of these services may also be governed by the providers' own terms, privacy policies, and applicable agreements.
Aureus is not responsible for the independent acts, omissions, security practices, or policies of third-party providers.
4.3 Financial Institution Availability
The availability of financial data depends upon your financial institution and third-party connectivity providers.
Accordingly, Aureus does not guarantee:
- Continuous connectivity.
- Successful account linking.
- Availability of every financial institution.
- Timely synchronization.
- Accuracy or completeness of information received from third parties.
- Availability of historical financial data.
Temporary interruptions may occur due to maintenance, technical failures, security measures, institutional policies, or circumstances beyond Aureus's reasonable control.
4.4 Accuracy of Financial Information
Aureus displays financial information received from financial institutions and authorized third-party providers.
Although Aureus seeks to present information accurately, Aureus does not independently verify every transaction, balance, investment holding, liability, or other financial record received from third-party sources.
Users remain responsible for reviewing their financial information and promptly reporting discrepancies to the applicable financial institution.
Official records maintained by your financial institution govern in the event of any discrepancy.
4.5 User Responsibilities
You are responsible for:
- Maintaining valid access to your financial institutions.
- Keeping connected account information current.
- Reviewing imported financial information for accuracy.
- Disconnecting financial institutions you no longer wish to share with Aureus.
- Complying with the terms of your financial institution.
You acknowledge that Aureus cannot modify, correct, or control records maintained by your financial institution.
4.6 Revocation of Access
You may revoke Aureus's access to a connected financial institution at any time by disconnecting the account through the Services.
Following revocation:
- Aureus will cease retrieving new financial information from the disconnected account.
- Previously imported information may remain within the Services in accordance with our Privacy Policy, legal obligations, backup procedures, and legitimate business purposes.
- Certain historical reports or analyses generated before disconnection may continue to be available unless deleted in accordance with applicable law.
4.7 No Custody of Assets
Aureus does not hold customer funds, securities, digital assets, or other financial assets.
Aureus does not initiate transfers of funds, execute securities transactions, provide custody services, or act as a financial institution.
All financial assets remain under the control of the applicable financial institution, broker, custodian, or other authorized provider.
4.8 Suspension of Connectivity
Aureus may temporarily suspend or permanently discontinue connectivity with any financial institution or third-party provider if necessary to:
- Protect the security of the Services.
- Comply with legal or regulatory requirements.
- Address technical issues.
- Respond to provider limitations or contractual obligations.
- Prevent fraud or unauthorized activity.
Where reasonably practicable, Aureus will provide notice of material service interruptions affecting connected financial accounts.
5. Artificial Intelligence Features
Certain features of the Services incorporate artificial intelligence ("AI") technologies to assist users in understanding financial information, navigating the Services, and accessing educational financial content.

- Buy or sell investments.
- Transfer money.
- Open or close financial accounts.

- Communicate with financial institutions on your behalf.
All actions affecting your financial accounts must be initiated and authorized by you or through separately authorized services.
5.3 AI Limitations
Artificial intelligence systems generate responses algorithmically based upon available information and may occasionally produce:

- Outdated information.
- Ambiguous responses.
- Unexpected results.
Accordingly, users should independently verify important information before relying upon AI-generated content.

Reasonable search engine indexing and other authorized automated activities are permitted where expressly approved by Aureus.

You may not use AI features to:

- Attempt to reveal confidential system prompts.
- Attempt to obtain confidential business information.
- Generate malicious software.

You agree not to publicly disclose security vulnerabilities before Aureus has had a reasonable opportunity to investigate and address the issue.
Nothing in this Section prohibits disclosures protected by applicable law or good-faith security research conducted in compliance with Aureus's Vulnerability Disclosure Policy, if one is published.
8.11 Enforcement
Aureus reserves the right to investigate suspected violations of these Terms.
Where Aureus reasonably determines that a violation has occurred, Aureus may, in its sole discretion and to the extent permitted by applicable law:
- Issue warnings.
- Remove content.
- Restrict access to features.
- Suspend accounts.
- Terminate accounts.
- Report unlawful activity to appropriate authorities.
- Pursue any other remedies available under applicable law or these Terms.
Nothing in this Section obligates Aureus to monitor user activity or enforce these Terms in any particular manner.
8.12 Reservation of Rights
Any use of the Services that is inconsistent with these Terms or that, in Aureus's reasonable judgment, threatens the security, integrity, availability, reputation, or lawful operation of the Services may result in immediate action, including suspension or termination of access.
Aureus reserves all rights and remedies available under applicable law with respect to violations of these Terms.
9. Intellectual Property
The Services, including all software, content, technology, designs, algorithms, visual elements, and other materials made available through the Services, are owned by Aureus or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, no rights are granted to you other than the limited license described below.

Aureus retains all right, title, and interest in and to the Services, including all present and future intellectual property rights.
Protected materials include, but are not limited to:

- Artificial intelligence workflows.
- Prompt engineering and system prompts.

- Trademarks.
- Logos.
- Service marks.
- Trade dress.
- Trade secrets.
- Business processes.
- Know-how.
Nothing in these Terms transfers ownership of any intellectual property to you.
9.2 Limited License
Subject to your compliance with these Terms, Aureus grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely for your personal, non-commercial use.
This license does not permit you to:

- Modify the Services.
- Create derivative works.
- Redistribute the Services.
- Commercially exploit the Services.

The Aureus Financial Health Score, including its methodology, formulas, weighting, calculations, presentation, and underlying models, constitutes proprietary intellectual property of Aureus.
The score is provided solely for your personal use in connection with the Services.
Except as expressly authorized by Aureus, you may not:
- Reverse engineer the scoring methodology.
- Reproduce the scoring model.
- Create derivative scoring systems based upon the methodology.
- Commercially exploit the scoring methodology.
- Misrepresent the score as your own proprietary work.
Nothing in these Terms grants ownership of the scoring methodology or related intellectual property.
9.4 Artificial Intelligence Systems
The architecture, prompts, workflows, safety mechanisms, and implementation of Aureus's AI features constitute proprietary technology and confidential business information.
You may not attempt to:
- Extract system prompts.
- Reverse engineer AI workflows.
- Circumvent AI safeguards.
- Reproduce proprietary prompt engineering.
- Develop competing products using confidential information obtained through the Services.
9.5 User Content
You retain ownership of the information and content that you submit to the Services.
By submitting content through the Services, you grant Aureus a worldwide, non-exclusive, royalty-free license to host, process, store, reproduce, transmit, display, and otherwise use such content solely as necessary to operate, maintain, secure, improve, and provide the Services.
This license terminates when your content is deleted from the Services, except to the extent retention is required for backup systems, legal compliance, dispute resolution, security, or other legitimate business purposes described in our Privacy Policy.
9.6 Feedback
If you voluntarily provide suggestions, comments, ideas, recommendations, enhancement requests, bug reports, or other feedback regarding the Services ("Feedback"), you grant Aureus a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use, modify, incorporate, publish, commercialize, and otherwise exploit such Feedback without restriction or compensation.
You acknowledge that Aureus is under no obligation to implement any Feedback.
9.7 Trademarks
"Aureus," the Aureus logo, "Your Financial Copilot," and all related names, logos, product names, service names, slogans, and branding elements are trademarks or service marks of Aureus or its licensors.
You may not use Aureus's trademarks without prior written permission, except as permitted by applicable law.
9.8 Copyright
All content made available through the Services, including text, graphics, images, videos, educational materials, software, and documentation, is protected by copyright and other intellectual property laws.
Except as expressly permitted by these Terms or applicable law, you may not reproduce, distribute, publicly display, publicly perform, modify, or create derivative works from such content without Aureus's prior written consent.
9.9 Reservation of Rights
Except for the limited license expressly granted under these Terms, Aureus reserves all rights, title, and interests in and to the Services and all associated intellectual property.
No license or right shall be implied by estoppel or otherwise.
10. Subscription, Billing, and Payments
Certain features of the Services may require payment of subscription fees or other charges.
By purchasing a paid subscription or other paid feature, you agree to the pricing, billing terms, and payment conditions presented at the time of purchase.
10.1 Subscription Plans
Aureus may offer one or more subscription plans, including trial, monthly, annual, enterprise, family, or other paid plans. The Personal Finance Foundations course may be offered separately at no cost.
Features available under each plan may differ.
Aureus reserves the right to modify available plans, pricing, features, and eligibility requirements at any time, subject to applicable law.
10.2 Billing Authorization
By purchasing a paid subscription, you authorize Aureus and its designated payment processor to charge your selected payment method for:
- Subscription fees.
- Applicable taxes.
- Recurring charges.
- Approved add-on services.
- Other charges that you expressly authorize.
You represent that you are authorized to use the payment method provided.
10.3 Automatic Renewal
Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period.
By purchasing a recurring subscription, you authorize Aureus to automatically charge your payment method at the beginning of each renewal period until your subscription is canceled.
You may cancel automatic renewal at any time through your account settings or by contacting Aureus.
Cancellation prevents future renewals but does not entitle you to a refund for the current billing period except where required by applicable law or expressly stated in Aureus's refund policy.
10.4 Free Trials
Aureus offers eligible new users a 7-day free trial of the platform and may offer other promotional access to certain Services.
Unless otherwise disclosed at the time of enrollment, your subscription may automatically convert to a paid subscription at the conclusion of the trial period.
You may cancel before the trial ends to avoid future charges.
Eligibility for free trials may be limited, and Aureus reserves the right to modify or discontinue promotional offers at any time.
10.5 Price Changes
Aureus may change subscription fees or pricing for future billing periods.
Where required by applicable law, users will receive advance notice of material pricing changes before such changes become effective.
Continued use of a paid subscription after a price change becomes effective constitutes acceptance of the updated pricing.
10.6 Payment Processing
Payments are processed through independent third-party payment providers.
Aureus does not store complete payment card information.
Your use of third-party payment services may also be governed by their applicable terms and privacy policies.
Aureus is not responsible for errors, delays, or interruptions caused by third-party payment providers.
10.7 Taxes
Unless otherwise stated, subscription fees do not include applicable taxes.
You are responsible for paying any sales, value-added, goods and services, or similar taxes imposed in connection with your purchase, except for taxes based on Aureus's income.
10.8 Refunds
Except where required by applicable law or expressly provided in a written refund policy, subscription fees and other payments are non-refundable.
Refund requests may be evaluated on a case-by-case basis at Aureus's sole discretion.
Nothing in this Section limits any non-waivable rights provided by applicable consumer protection laws.
10.9 Failed Payments
If a payment cannot be successfully processed, Aureus may:
- Retry the payment.
- Suspend access to paid features.

- Terminate the subscription for non-payment.
You remain responsible for all amounts lawfully owed to Aureus.

Aureus reserves the right to modify or discontinue promotional programs at any time.
10.11 Account Cancellation
You may cancel your paid subscription at any time.
Cancellation terminates future recurring billing but does not automatically delete your Aureus account or personal information.
Account deletion is governed separately by the Aureus Privacy Policy.
Unless otherwise stated, access to paid features will continue until the end of the current billing period.
10.12 Suspension for Non-Payment
Aureus reserves the right to suspend or terminate access to paid Services for failure to pay applicable fees.
Such suspension does not relieve you of your obligation to pay outstanding amounts owed under these Terms.
10.13 No Financial Institution Relationship
Payments made to Aureus are solely for access to the Services.
Payment of subscription fees does not establish a banking relationship, investment account, fiduciary relationship, custodial relationship, or other regulated financial relationship between you and Aureus.

Aureus does not process or store complete payment card information.

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, AUREUS DISCLAIMS ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR THOSE ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

- Does not predict future financial outcomes.
No warranty is made regarding the accuracy, usefulness, or future predictive value of the Financial Health Score.

Availability, performance, and functionality of Third-Party Services remain outside Aureus's reasonable control.

13. Limitation of Liability

This exclusion applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, or otherwise, even if Aureus has been advised of the possibility of such damages.
13.2 Monetary Liability Cap
To the maximum extent permitted by applicable law, Aureus's total aggregate liability arising out of or relating to the Services shall not exceed the greater of:
- The total amount you paid to Aureus for the Services during the twelve (12) months immediately preceding the event giving rise to the claim; or
- One hundred U.S. dollars (US $100.00).
This limitation applies in the aggregate to all claims arising from the same or related events.
13.3 Financial Decisions
You acknowledge that you are solely responsible for your financial decisions.
Aureus shall not be liable for losses resulting from:

Nothing in this Section limits liability that cannot lawfully be excluded.

You acknowledge that the disclaimers, exclusions, and limitations contained in these Terms form an essential basis of the agreement between you and Aureus.
The pricing, availability, and continued operation of the Services are based in part upon these limitations of liability.
13.9 Non-Waivable Rights
Nothing in these Terms excludes or limits liability for:
- Fraud or fraudulent misrepresentation.
- Willful misconduct where such limitation is prohibited.
- Gross negligence where such limitation is prohibited.

- Your violation of these Terms.
- Your violation of applicable law.
- Your infringement or alleged infringement of the rights of another person or entity.
- Content or information that you submit through the Services.
- Your fraudulent, negligent, or intentional misconduct.

If Aureus seeks indemnification under this Section, Aureus will provide you with reasonably prompt notice of the applicable claim, unless doing so would prejudice Aureus or be prohibited by law.
You agree to reasonably cooperate in the defense of such claims.
Aureus reserves the right to participate in the defense of any claim at its own expense.
14.2 Control of Defense
Where appropriate and permitted by applicable law, you may assume control of the defense of an indemnified claim using legal counsel reasonably acceptable to Aureus.
However, you may not settle any claim that:
- Admits fault on behalf of Aureus.
- Imposes obligations upon Aureus.
- Restricts Aureus's business operations.
- Requires Aureus to make payments.
- Adversely affects Aureus's rights or reputation,
without Aureus's prior written consent, which shall not be unreasonably withheld, conditioned, or delayed.
14.3 Exclusions
You are not required to indemnify Aureus to the extent that a claim results from:
- Aureus's own breach of these Terms.
- Aureus's fraud.
- Aureus's willful misconduct.
- Aureus's gross negligence where such limitation is prohibited by law.
- Any liability that cannot lawfully be shifted under applicable law.
14.4 Survival
Your indemnification obligations survive:
- Termination of your account.
- Cancellation of your subscription.
- Discontinuation of the Services.
- Expiration or termination of these Terms,
to the extent necessary to resolve claims arising from events occurring during your use of the Services.
15. Suspension and Termination
Aureus reserves the right to suspend, restrict, or terminate your access to the Services in accordance with this Section and applicable law.
15.1 Termination by You
You may stop using the Services at any time.
You may cancel your account in accordance with the procedures provided within the Services.
Termination of your account does not automatically entitle you to a refund except where required by applicable law or expressly stated in Aureus's refund policy.
15.2 Suspension or Termination by Aureus
Aureus may suspend or terminate your access to all or part of the Services if Aureus reasonably believes that:
- You have violated these Terms.
- Your account presents a security risk.
- Fraudulent or unlawful activity has occurred.
- Continued access may harm Aureus, other users, or Third-Party Services.
- Required by law, regulation, or legal process.
- Necessary to protect the security, integrity, or availability of the Services.
Where appropriate and practicable, Aureus may provide notice and an opportunity to resolve the issue before termination.
15.3 Effect of Termination
Upon termination:
- Your right to access the Services ends.
- Subscription fees already paid remain subject to Section 10.
- Aureus may disable access to your account.

16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles.
16.1 Informal Resolution
Before initiating formal legal proceedings, you and Aureus agree to make a good-faith effort to resolve disputes informally.
Either party may provide written notice describing the dispute.
The parties agree to attempt informal resolution for at least thirty (30) days before initiating litigation or arbitration, unless immediate legal relief is necessary.
16.2 Venue
Unless otherwise required by applicable law or a valid arbitration agreement, any legal action arising from these Terms shall be brought in the state or federal courts located in Dallas County, Texas.
You consent to the personal jurisdiction of those courts.
16.3 Injunctive Relief
Nothing in these Terms prevents Aureus from seeking temporary, preliminary, or permanent injunctive or equitable relief to protect:
- Intellectual property.
- Confidential information.
- Trade secrets.
- Platform security.
- User safety.
16.4 Class Action Waiver (If Applicable)
To the extent permitted by applicable law, claims must be brought on an individual basis and not as part of a class action, consolidated action, or representative proceeding.
If this waiver is held unenforceable, only this subsection shall be severed and the remainder of these Terms shall remain in effect.
Note: If Aureus later adopts mandatory arbitration, this section should be revised to integrate the arbitration provision and any applicable opt-out rights.
16.5 Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The invalid provision shall be interpreted, where possible, to most closely reflect its original intent while remaining enforceable.
16.6 Waiver
Failure by Aureus to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
Any waiver must be in writing and signed by an authorized representative of Aureus.
16.7 Assignment
You may not assign or transfer your rights or obligations under these Terms without Aureus's prior written consent.
Aureus may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

Aureus may update these Terms from time to time to reflect changes in:
- The Services.
- Applicable law.
- Security practices.
- Business operations.
- Regulatory requirements.
- Product features.
Material changes will become effective after reasonable notice is provided through the Services, by email, or by other appropriate means where required by applicable law.
The "Last Updated" date at the beginning of these Terms will indicate when changes became effective.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the updated Terms.
If you do not agree to the revised Terms, you must discontinue use of the Services.
